These Terms of Service (the “Terms”) govern your access to and use of the website at valentprocure.com and any related pages we operate (together, the “Site”). The Site is operated by Valent (“Valent”, “we”, “us” or “our”).

The Site describes our company and our platform. Access to the Valent platform itself, and any services we provide to customers, is governed by a separate written agreement between Valent and that customer. If that agreement conflicts with these Terms, the agreement prevails.

By accessing or using the Site you agree to these Terms. If you use the Site on behalf of an organisation, you agree to them on its behalf and confirm you are authorised to do so. If you do not agree, please do not use the Site.

You may use the Site for lawful purposes and in line with these Terms. You agree not to:

• use the Site in a way that breaks any applicable law or regulation, including export control and sanctions laws;
• attempt to gain unauthorised access to the Site, its servers or any connected systems, or interfere with their operation or security;
• scrape, crawl or harvest content or data from the Site by automated means, except as permitted by our robots.txt file;
• introduce viruses, malicious code or anything else that could harm the Site or its users;
• misrepresent your identity or affiliation when contacting us.

The Site and its content, including text, graphics, logos, illustrations, animations, video and software, are owned by Valent or its licensors and are protected by intellectual property laws. The Valent name and logo are our trademarks.

We grant you a limited, non-exclusive, non-transferable and revocable licence to view the Site for your own information. You may not copy, modify, distribute, republish or create derivative works from any part of the Site without our prior written consent, except as the law allows.

The Site is provided for general information about Valent and its platform. It does not constitute an offer, and nothing on it is legal, regulatory, compliance or other professional advice. Descriptions of product features, capabilities and availability may change without notice. We try to keep the Site accurate and current but do not guarantee that it is complete, accurate or up to date.

If you contact us or send us ideas, suggestions or other feedback, you agree that we may use that feedback without restriction or obligation to you. Please do not send us confidential or sensitive information through the Site or by email unless we have agreed a way to receive it with you first. The Site may link to websites or services run by others. We do not control them and are not responsible for their content, policies or practices. Following a link is at your own risk and subject to the terms of that site.

Our total liability for any claim arising out of or relating to the Site is limited to one hundred US dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify and hold Valent harmless from any claims, losses and expenses, including reasonable legal fees, arising from your breach of these Terms or your misuse of the Site.

We may change, suspend or discontinue any part of the Site at any time. We may also update these Terms. When we do, we will change the “Last updated” date above. Your continued use of the Site after an update means you accept the revised Terms.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction.

If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. These Terms are the entire agreement between you and Valent about the Site, and you may not assign them without our consent.
